Job Description
• Provide leadership and ensure efficient and effective management of staff and resources in the Legal department. • Assess and advise effectively to minimize and control risks to company and ensure that the system and processes are appropriate • Ensure that legal program adhere to highest standards of legal and professional ethics • Advise and ensure the business is in full compliance with the applicable laws and regulations • Prepare bilingual legal documents and contracts. These agreement may include, shareholders' agreements, share purchase agreements, investment agreement, etc.… • Assist with legal due diligence of potential investment targets • Assist during contractual negotiations • Supervise, research and analyze implication of legislation, and regulatory matters that affect the business • Work with other attorneys and law firms to seek outside independent advice when necessary and review progress of outstanding litigation and liaise with and manage external lawyers • Formulate compliance check-lists to be used for the purpose of ensuring that all information required is provided accordingly. • Prepare monthly and quarterly reports for the department for CEO
Requirements
• At least Master Degree from a top-tier institution • Must be an Advocate of Islamic Republic of Iran • At least 5 years’ experience ideally in a leading organization, with a proven track record in contract negotiation and drafting • Knowledge of the legal aspects of capital markets, business transactions and corporate issues, trading practices and ecommerce. • Fluent in English • Good commercial acumen • Good Communication and negotiation skills • Strong written and oral communication • Ability to grasp complex areas of law rapidly and accurately • Good project management skills with a meticulous attention to detail; must be able to work both independently and in a team • Strong ability to multitask and prioritize competing interests; highly organized and able to complete projects with minimal supervision • Willing to travel when required • Strong influencing and relationship building skills
