Conducting meetings of Iranian subsidiaries’ governing bodies (formulating and justifying positions for voting, preparing memorandums of meetings), and monitoring the implementation of decisions reflected in resolutions.
Legal support of major transactions.
Establishing new legal entities both with Iranian and Russian partners/shareholders.
Involvement in preparation and execution of transactions with shares, including sale and purchase agreements, changes in authorized capital, contributions to the company’s assets.
Involvement in conduction of corporate analysis/audit (due diligence).
Amending the company’s information and registering changes with relevant authorities.
Preparation of applications, petitions, and other documents for obtaining licenses, and permits necessary for the operation of the company.
Conducting negotiations, including in English.
Representation of the company's interests in interactions with government and regulatory bodies, legal consultants, and auditors.
Preparation of references, opinions, and recommendations on corporate law matters and the practical application thereof.
Requirements
No less than 5 years of relevant work experience in corporate law within the fuel and energy complex sector.
English language: upper-intermediate and higher.
Legal education is required, and higher legal education is an advantage.
Organizational and communication skills.
High performance, organizational skills, and systematic approach.
Ability to analyze a large volume of information, and quickly delve into new issues/projects.
Skill to construct a legal position coherently and logically.
