Asia Azad Gostar Petro-Energy Industrial Development Holding (PJSC) is a newly established public joint stock company currently in the process of transformation into a multi-sector financial holding under the supervision of the Securities and Exchange Organization (SEO) of Iran.
Guided by strong principles of corporate governance, financial transparency, and sustainable value creation, the Company manages subsidiaries operating in infrastructure development (road construction), construction, and gold-related businesses. In parallel, it is executing an ambitious roadmap to establish or acquire regulated financial institutions, including leasing companies, asset management firms, and various financing and investment funds.
- Role Purpose
The purpose of this role is to appoint a senior-level finance executive capable of designing, leading, and executing the Group’s comprehensive financing strategies across the holding company and its subsidiaries.
This position plays a critical and value-creating role during the formation and growth phase of the Holding and directly contributes to capital structure optimization, financial risk management, and the integration of operational businesses with capital markets.
- Organizational Positioning & Reporting Line
- Direct reporting to: Chief Executive Officer / Deputy for Finance & Investments
- Close interaction with:
- Board of Directors and specialized committees
- Finance, planning, legal, and operational departments
- Investment banks, financial institutions, and institutional investors
- Securities and Exchange Organization and other regulatory bodies
- Level of authority: Strategic decision-maker and leader of financing initiatives
- Key Responsibilities
- Design, develop, and continuously update the Group-wide financing strategy in alignment with corporate strategy and corporate governance requirements
- Plan and manage the capital structure of the Holding and its subsidiaries with the objective of optimizing the weighted average cost of capital (WACC) and controlling financial risks
- Develop and implement short-, mid-, and long-term financing roadmaps for operating projects, subsidiaries, and newly established financial institutions
- Structure and execute financing solutions through:
- Issuance of debt securities and capital market instruments
- Establishment and development of investment and financing funds
- Attraction of strategic and institutional investors
- Lead end-to-end processes for regulatory approvals, structuring, credit rating, and issuance of securities, in close coordination with:
- Securities and Exchange Organization
- Investment banks
- Credit rating agencies
- Perform advanced financial modeling, scenario analysis, and economic evaluation of projects and investment proposals
- Actively participate in financial decision-making related to the establishment, acquisition, or expansion of regulated financial institutions (leasing companies, asset managers, funds)
- Lead high-level financial negotiations and conclude agreements with banks, financial institutions, and investors
- Ensure full compliance of all financing activities with capital market regulations, legal requirements, and supervisory guidelines
- Prepare and present analytical, strategic, and decision-support reports to executive management, the Board of Directors, and relevant committees
- Identify, assess, and manage risks related to liquidity, debt maturity profiles, interest rates, and financial commitments
- Collaborate closely with internal stakeholders to ensure alignment between financing structures and operational objectives
- Technical & Professional Requirements
- Minimum education: Master’s degree in Finance, Accounting, Economics, or Financial Management
- Strong command of:
- Capital market laws and regulations of the Securities and Exchange Organization and Farabourse
- Structuring, issuance, and placement of debt securities
- Advanced expertise in financial modeling and project finance analysis
- Experience Requirements
- Minimum 8–10 years of proven and relevant professional experience in one or more of the following:
- Finance departments of holdings or investment companies
- Investment banks / underwriting and advisory firms
- Finance divisions of large listed or project-based companies
- Prior experience in regulated environments with formal reporting and compliance requirements is highly desirable
