Job Description

Position’s key accountabilities: Legal Function Purpose: • Carry out and continually assess the effective implementation of the Global Legal strategy in collaboration with the Legal and Compliance (L&C) Director, • Prepare analysis on the relevant laws and regulations for consideration of the L&C Director, • Provide fast, effective, high quality and business oriented day to day support to the Line of Business as well as L&C department in Novo Nordisk Pars, • Liaise with all the affiliate departments to ensure that legal risks are identified, • Ensure compliance with relevant laws and legislation in affiliate under the supervision of the L&C Director • Liaise with the external lawyers hired for assisting the corporation in the specialized legal areas seeking advice in regard to the referred matters, • Review drafts and assist in the negotiation of various contracts and agreements, • Draft minutes of the corporate governance meetings and of follow up for registration (e.g. General Assembly documentation, Board of Directors meetings), • Train the affiliate employees on the legal issues shall be decided by the L&C department, • Report the identified legal risks to the L&C Director, Region and Global International Operation (as may be required), and implement the risk preventive and controlling actions decided in the L&C department. • Keep, improve and update all legal and compliance databases, including physical and electronic • Serve as point-of-contact for relevant legal authorities and be present before local authorities as “legal representative” of the company as may be required, • Assist with employment issues and represent the company before the labour dispute boards, if required, • Manage legal documents, corporate governance & contracts • Coordinate with Local Manufacturing Legal & Compliance Team to ensure constant collaboration between the Affiliate and Local Manufacturing Compliance and Business Ethics Function Purpose: • Drive effective implementation of compliance and business ethics policies, strategies and SOPs under the supervisions of the L&C Director, • Undertake the responsibility for L&C projects, • Provide high quality business ethics and export control training to internal and external stakeholders, business partners and Third Parties • Provide advice and drive compliance monitoring activities re Export control and sanctions screening, • Driving the Third Parties Due Diligence process under the supervisions of L&C Director, • Identify Business Ethics (BE) risks and assisting the L&C for controlling the risks • Prepare presentations and reports as L&C Director requires on Business Ethics and Compliance issues and major risks, • Report potential BE breaches of the affiliate to Global Legal on a timely manner in alignment with L&C Director and the Region • Conducting internal Business Ethics auditing and local compliance review under the supervision of the L&C Director, • Liaise with all the affiliate departments to ensure that Business ethics and compliance risks are identified. • Cooperation with Local Manufacturing Tehran, Legal & Compliance Team in Internal Audit and Compliance Review to ensure BE Compliance of NN Operation in Iran
