Introduction

The use of this website by Employers is governed by the policies, terms and conditions set forth below, (“Terms and Conditions for Employers Access”). Altogether considered as an offer which would lead to a binding contract between the user and Aria Talin Gam (irantalent.com®owner) by accepting them by the user. Since any non-read allegations is not acceptable in case of disputes, so please read them carefully. Clicking the “I accept” icon indicates reading the whole text by the user. Your use of this website or your submittal of any personal information to IranTalent's website also indicates acceptance of these Terms and Conditions for Employers Access. These Terms and Conditions for Employers Access shall supersede any subsequent terms or conditions included within this website, whether or not such terms or conditions are signed by IranTalent. IranTalent reserves the right to make changes to this website and these Terms and Conditions for Employers Access at any time.
In case there is a basic contract or order form between irantalent and the employer, these set of terms and conditions are considered as a binding and enforceable appendix to them. Signing that contract or order form indicates reading and accepting the whole terms and conditions text by employer.


Language of the terms and conditions

Clicking “I accept” icon beneath the text, indicates that you have read and understood the English version of the text. You can also read the Farsi transcript of the terms and conditions if you have difficulty in reading and understanding the English text.


Employers Membership conditions

Employer members would utilize three services provided by irantalent: 1- to access job-seekers’ database and search ability through it. 2- To Post a job vacancy so that job-seekers can view in the website or to be sent to job-seekers according to members preferences. And 3- a combination of the two. Using and accessing to any of these services requires accepting and observing these set of terms and conditions. Any possible violation or disregarding of these conditions would be considered as breach of obligation and could result in recruiter’s liability or suspension or termination of access in irantalent discretion.


Job vacancy posting requirements

- All job postings should be submitted in English and meet basic standards of clarity, specificity and presentation. Irantalent reserves the right to disapprove, suspend or edit a posting if, in its opinion, the job posting does not meet required standards of quality.
- Each job posting purchased will remain valid and usable for the period of two months from the date it is live on website.
- Each job posting relates to only one vacancy for one employer in one country. And cannot be substituted for or combined with another vacancy. Multiple vacancies advertised in one job posting will constitute a breach of these terms and will result in automatic deactivation of the job posting without any refund or compensation.
- The employer should observe law, labor regulations and social values in posting job vacancies. All the titles, positions, description or roles designated in the job posting should be according to law and not contrary to social or Islamic values. Breach of these requirements will result in automatic deactivation of the job posting without any refund or compensation.


Database search conditions

- Employers who are permitted to access irantalent CV database should only view or download job seekers’ CV solely by themselves. They are not allowed to share job-seekers CV with or assign their access to other entities or persons.
- Accessing job seekers’ CVs for employers is only for employment purposes. Any other use including but not limited to advertising, promoting or selling a good or service, storing CVs for the purpose of reselling them to a third party is prohibited.
- Breach of these requirements will result in automatic deactivation of the employer access without any refund or compensation or even resulting in being sued for damages.

By posting a job vacancy by employer, irantalent is entitled to use employer trademark in that job posting if not asked otherwise by the employer, or as an icon in its website to refer job-seekers to employer’s all present job postings or as a highlight job posting as its discretion.

The website is intended for individuals seeking employment and for employers or recruiters (whether real or legal person) seeking candidates for employment. You may use this website only for lawful purposes within the stated context of IranTalent's intended and acceptable use of the website and the obligatory regulations of Islamic Republic of Iran. IranTalent is the sole interpreter of the website's intended and acceptable use.


  • License to Use by Users who are employers or recruiters. IranTalent hereby grants you a limited, terminable, non-exclusive right to access and use the website only for your internal business use seeking candidates for employment. This authorizes you to view and download a copy of the material on the website solely for your own personal use directly related to using the website for the purpose of searching and recruiting job prospects according to these terms and conditions. IranTalent reserves the right to suspend or terminate your access and use at any time if IranTalent determines that you are in breach of any of these Terms and Conditions.

  • Any breach of law, labor regulations, social values, moral bounds or misbehavior of employer or its staff with the job seeker whether before or after his/her employment.
  • Any counterfeit or fabricated documents presented to irantalent by employers including but not limited to company registration forms, representation papers, power of attorney, copyright ownership, copyright owner permission of use, exclusive agency certification, etc.
  • Untrue or non-accurate presentation by job seekers regarding their degree, job experience, skills, age, gender, interests, phone number, email address or any other information provided for in their cv or resume sent to irantalent.
  • Any technical defect resulting in disappearment of a whole or a part of information within job seeker’s resume or employer’s job vacancy.
  • The contents of any website not controlled, owned, or operated by IranTalent that is accessed from or linked to this website by direct or indirect means
  • Any injury, defect, loss or disclosure of information via virus, malware, spyware etc, due to access to third party websites from irantalent links.
  • Any possible breach of job-seekers employment contracts with his/her current or prior employer including but not limited to confidentiality, non-competitor employment clause or any other labor or employment regulation disregarding by job-seekers.
  • Any damages or injury caused by, including but not limited to, any failure of performance, error, omission, interruption, defect, delay in operation of transmission, computer virus, or line failure.
  • Any direct, indirect, incidental, special, or consequential damages whether in contract, tort, strict liability or otherwise, arising out of or relating to use of or inability to use this website, even if IranTalent has been advised of the possibility of such damages.

Indemnification

You agree to indemnify and hold IranTalent, its directors, officers, employees, agents and representatives harmless from all claims, liabilities, damages, and expenses (including attorneys' fees and expenses) arising out of or relating to (a) your use of this website; (b) any alleged breach of these Terms and Conditions for Employers Access.


Irantalent won’t be responsible for any direct or non-direct or non-profit damages allegation related to or resulting from using or inability to use irantalent and its services due to technical or contractual reason including but not limited to lost data, lost employment opportunity, access interruption, and website unavailability. If these clauses or any part thereof is held inapplicable or by irantalent discretion, the client is entitled for some indemnity, in no case the damage exceeds the amount paid by the client in return of the service for which the claim arose.


Limited License

Irantalent only facilitates communication of job-seekers and employers. This website is for your personal and non-commercial use. Except as otherwise expressly provided, you may not modify, copy, distribute, transmit, display, perform, reproduce, use, publish, license, create derivative works from, transfer or sell any information or content contained in the system, irantalent.com website as a whole software, products or services obtained from or available as part of or in conjunction with this system. You are granted a non-exclusive, non-assignable and non-transferable license to use this system only under these Terms and Conditions for Employers Access.

This license is not a sale of any of the owner's rights. The www.irantalent.com website may be used only by you, and you may not rent, lend, sub-license or transfer the website or any data residing on it or any of your rights under this agreement to anyone else. You may not develop or derive for commercial sale any data in machine-readable or other form that incorporates or uses any substantial part of the website. You may not transfer to or store any data residing or exchanged over the www.irantalent.com website in any electronic network for use by more than one user unless you obtain prior written permission from irantalent.com.


Remedies

You understand and agree by accepting these terms and conditions as a set of binding rules and taking into account the regulations set forth in I.R.I Cyber Crime Penal Law and I.R.I Electronic Commerce Law, in case of breaching them by you, irantalent is entitled to take actions against you by any legal means whether criminal or civil for equitable relief not only for money damages but also for preserving its reputation.


Waiver

No waiver by IranTalent shall be construed as a waiver of any proceeding or succeeding breach of any provision.


Survival of Provisions

Each provision of the Terms and Conditions for Employers Access shall be construed as separately applying and surviving even if for any reason one or other of those provisions is held to be inapplicable or unenforceable in any circumstances. These Terms and Conditions for Employers Access shall be severable and construed to the extent of their enforceability in light of the parties' mutual intent if deemed at all unenforceable by the competent court.


Entire Agreement

We intend that these Terms and Conditions for Employers Access constitute the entire agreement between IranTalent and you. Any changes to these Terms and Conditions for Employers Access are directly implemented on the online version on IranTalent website and all users shall review the terms frequently.

House Rules regarding Posting, Conduct and Security

IranTalent is the sole interpreter of these rules. Users who violate these rules may have their access and use of the website suspended or terminated, at IranTalent's discretion. IranTalent reserves the right to change these.


Posting Rules

(a) Your documents, reports, cv, resume, job vacancy posting, description or any other in may not contain: (i) copyrighted material (unless you own the copyright or have the owner's permission to post the copyrighted material); (ii) trade secrets (unless you own them or have the owner's permission to post them); (iii) material that infringes on or misappropriates any other intellectual property rights, or violates the privacy or publicity rights of others; (iv) anything that is sexually explicit, obscene, libelous, defamatory, threatening, harassing, abusive, or hateful; or (v) anything that is embarrassing or offensive to another person or entity, or violates the law of the country in which you are based; (vi) any confidential information, whether governmental or private, about your job experiences, education, etc.

(b) You may not use your Document(s) to: (i) impersonate another person, living or dead; (ii) post false, inaccurate or misleading information; (iii) post advertisements or solicitations of business (including, but not limited to, franchises, "club memberships," distributorships, or anything requiring a monetary investment by the User); (iv) post chain letters or pyramid schemes; or (v) post opinions or notices, commercial or otherwise.

(c) Your Document(s) must contain sufficient detail to convey your company’s identity. Documents from any third party charging a fee or restricting complete access to all resume information are prohibited.

(d) Resume postings must contain the accurate resume of a living individual seeking employment on a full-time, part-time, or contractual basis on his or her own behalf.

(e) IranTalent is under no obligation to monitor the documents posted on the website, but it may monitor documents at random. Documents found to violate the above Posting Rules may be removed at IranTalent's discretion.

(f) Irantalent has the right to do any kind of inquiries to ensure the authenticity of its users and client’s identity. These inquiries in no case would be considered as privacy violation.

(g) Irantalent access duration to information provided by users in their CV, resume, job posting, documents, etc. is limitless.


Conduct Rules

(a) You may not send unsolicited commercial email to Users.

(b) Protect your password. You are responsible for maintaining the confidentiality of your information and password. You are responsible for all uses of your registration, whether or not authorized by you. If others use your password to post inappropriate material on the website, you risk losing your access to the website. You agree to notify IranTalent immediately of any unauthorized use of your registration and password.

(c) Report inappropriate postings or conduct to Feedback.

(d) You may not delete or revise any material posted by any other person or entity.

(e) IranTalent is under no obligation to monitor the conduct of its Users, but it may investigate and respond when violations are reported.

(f) If at any time during the term of this agreement IranTalent comes to the understanding that you: (i) misled IranTalent of your business practices and/or services, or (ii) purchased services that do not represent your precise business, IranTalent reserves the right to terminate your access and follow the process to the court if required.


Security Rules

(a) Users are prohibited from violating or attempting to violate the security of the Site, including, without limitation: (i) accessing data not intended for such User or logging into a server or account which the User is not authorized to access; (ii) attempting to probe, scan or test the vulnerability of a system or network or to breach security or authentication measures without proper authorization; (iii) attempting to interfere with service to any User, host or network, including, without limitation, via means of submitting a virus to the Site, overloading, "flooding", "mailbombing" or "crashing"; (iv) sending unsolicited e-mail, including promotions and/or advertising of products or services; (v) forging any TCP/IP packet header or any part of the header information in any e-mail or newsgroup posting. Violations of system or network security may result in civil or criminal liability.

(b) Violation of these Security Rules may result in civil or criminal liability. IranTalent will investigate occurrences which may involve such violations and may involve, and cooperate with, law enforcement authorities in prosecuting Users who are involved in such violations.


Validity of these terms and conditions

You agree by accepting these set of terms and conditions that in case of any damage or dispute arose between irantalent and its users, these set of terms and conditions would be recognized as the valid contract between the parties. The fact that these Terms and Conditions are in electronic form does not affect in any way their validity or enforceability. You also agree that the clicking of the button I accept on the website constitutes your valid and legal signature.


Governing law and jurisdiction

By accepting these terms and conditions a valid contract takes place. The contract place of formation is in Tehran-Islamic republic of Iran and Iranian tribunals have the jurisdiction to settle any dispute between the parties. Beside these terms and conditions, Iranian applicable law is the governing law over the parties’ relations and disputes.
