Job Description
● Identifying, analyzing, researching, negotiating, and resolving legal and business issues in proposed contracts, and making appropriate recommendations to the business.
● Assessing and advising effectively to minimize and control legal risks to the company.
● Reviewing all contract terms and conditions to ensure compliance with legal and organizational requirements.
● Preparing contract summaries and/or issue lists for the direct manager and/or business owners.
● Drafting board and stockholder resolutions, meeting minutes, and other corporate governance documents in compliance with applicable law.
● Managing process improvement for legal contracts.
● Recommending, developing, and implementing contracting policies, procedures and processes, and redeveloping contract templates.
● Updating databases and maintaining accurate records of contracts in addition to facilitating the administration of the contract renewal process.
● Organizing and preparing agendas and papers for board meetings, committees, and annual general meetings (AGMs).
● Providing leadership and ensuring efficient and effective management of staff and resources in the Legal department.
● Working with other attorneys and law firms to seek outside independent advice, when necessary.
● Preparing monthly and quarterly reports for the CEO.
