Job Description
- Provide minutes of meetings for Assemblies and BOD’s changes regarding different kind of decisions based on corporate law and AOA of companies.
- Provide legal advice and support on procedural matters to the Assemblies, BODs and/or Financial Department.
- Provide legal advice and support on corporate matters to the Assembly Commission, this may include advice on stockholders’ issues, liquidation, IPO Issues, contract and procurement law.
- Prepare the related documents and Provide legal advice for consolidation of companies or assets through various types of financial transactions, including mergers, acquisitions, consolidations, tender offers, purchase of assets, and management acquisitions.
- Claims & Dispute Resolution specially in Oil and Gas Sector.
- Consultancy on Legal oriented Business development activities particularly in other countries.
- To Review and supervise correspondence between Dana Energy, stockholders, clients and sub-contractors and any third parties arising out of contracts.
- Identify rights and obligations of all contracting parties under the Contract or otherwise and support Project Management in the administration of the contractual issues of the project to ensure strict compliance of contract.
- Responsible to provide guidelines to lessen the quantity of lawsuits against the company.
- Write, review, analyze, modify and negotiate contractual documents to achieve acceptable risk levels.
- Summarize and prepare risk summaries for review and approval by management.
- Compliance & Regulatory affairs related to Legal and contracts.
- Carry out such other duties as the Director of Legal and Governance may reasonably require.
